These terms apply to everything TBON GmbH sells: subscriptions to our software (such as Volta, ShowroomOS and Autoix), websites and custom software with their maintenance, and strategy, communication and marketing projects. A signed offer or contract can set different terms: where it does, the offer prevails.
1 · Who sells
TBON GmbH, Schaffhauserstrasse 126, 8302 Kloten, Switzerland. Registered in the commercial register of the Canton of Zürich, company ID (UID) CHE-393.826.213. Operating office in Zürich.
Email: hello [at] tbon.ch · Phone: +41 78 904 86 83
2 · Who we sell to
Our offer is aimed at businesses, public bodies and schools. If you buy as a consumer, the mandatory consumer-protection rules of your country remain unaffected.
3 · Offer and contract
The contract is concluded when you accept our written offer (by signature or by email) or complete an order online. The descriptions on this site are for information: scope, price and duration are those of the offer or of the order page.
4 · Prices and VAT
Prices are set in the offer or at checkout, in Swiss francs (CHF) for Switzerland and Liechtenstein and in euros (EUR) for other countries. Prices are net: VAT is added at the statutory rate where due. For business customers in the EU, VAT is accounted for by the customer (reverse charge).
Third-party costs are not included unless the offer says so: advertising budgets paid to Meta, Google and other platforms, domains, third-party licences, photo and video production, and hardware such as iPads.
5 · Payment
Subscriptions are billed in advance, at the start of each period. You can pay by card or by the other methods offered at checkout, processed by Stripe and charged automatically at each renewal until you cancel, or by invoice with bank transfer within 30 days.
Projects: half of the price on acceptance and half at go-live, by bank transfer within 30 days of the invoice date. Maintenance runs from go-live and is billed as stated in the offer.
If a payment is late, we send a reminder. If it is still unpaid 10 days later, we may suspend access to the service until it is settled. Statutory default interest applies (5%, Art. 104 Swiss Code of Obligations).
6 · Subscriptions: duration, renewal and cancellation
Monthly plans renew every month. You can cancel at any time: the cancellation takes effect at the end of the month already paid.
Yearly plans run for 12 months and renew for another 12 months unless cancelled at least 30 days before the end of the term.
Maintenance of websites and custom software runs for 12 months from go-live and renews from year to year unless cancelled at least 90 days before the end of the term.
Cancel in writing: an email to hello [at] tbon.ch is enough, unless your offer requires a different form. There are no penalties. We can end a subscription with 30 days’ notice to the end of a period, or immediately in case of serious breach (for example, payment still missing after the reminder, or unlawful use of the service).
7 · Refunds
Periods already started are not refunded, and there is no pro-rata refund if a yearly plan is cancelled during its term. The service stays active until the end of the period paid.
If we end a subscription without fault on your side, we refund the unused part of the period paid.
If you stop a project before delivery, you pay for the work done up to that point at the rates of the offer, and we refund anything paid beyond that. If we cannot deliver, we refund what you paid for the parts not delivered.
Refunds are made to the original payment method within 14 days. If something is wrong with a card payment, please write to us before opening a dispute with your bank: we answer within one working day.
8 · Service and support
We carry out our services with due professional care. Support runs by email, Monday to Friday from 9:00 to 18:00 Swiss time, public holidays excluded, with a first answer within one working day.
Our software keeps evolving: we may improve or change features as long as the main function you subscribed to remains available. Our products rely on third-party services (Meta, Google, Apple, LinkedIn, TikTok, cloud providers): when they change or fail, we act to restore the service as quickly as we can.
9 · Your obligations
You give us correct information, keep access data confidential, use the services lawfully and hold the rights to the content and data you upload. Advertising accounts, domains and budgets stay in your name and at your expense: we access them only as a user or technical delegate.
10 · Ownership and exit
Your content, texts, images, brands, the data collected and your domains remain yours. The platforms, source code and reusable components remain TBON’s: you receive the right to use them for the duration of the contract, and maintenance does not transfer the software.
When the contract ends, within 15 days we deliver an export of your data and content in an open format and the list of configurations, and we give up any access to your accounts.
11 · Personal data
How we handle personal data is explained in our privacy policy. Where we process personal data on your behalf (for example the leads collected by your website or by ShowroomOS), we do so only on your instructions, under a data processing agreement (Swiss FADP Art. 9, EU GDPR Art. 28).
12 · Confidentiality
Each party keeps the other party’s information confidential, including contacts, negotiations and sales data, for the duration of the contract and for three years after it ends.
13 · Liability
Except in case of intent or gross negligence, TBON is liable only for direct damage, up to the amount you paid in the 12 months before the event, and is not liable for outages of Google, Meta, cloud providers or other third-party systems. Mandatory liability rules remain unaffected.
14 · Changes
We may update these terms and our prices. For running subscriptions we announce the change by email at least 30 days before it takes effect, and price changes apply from the next renewal. If you don’t agree, you can cancel before the change takes effect.
15 · Law and jurisdiction
These terms are governed by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Zürich, Switzerland; TBON may also bring an action at your registered office.
